# BeamDesk Terms of Service

These Terms of Service ("**Terms**") govern your use of BeamDesk, a desktop lighting plot design application ("**the Service**" or "**BeamDesk**"), provided by **Jonathan Bucci Productions, LLC**, a Pennsylvania limited liability company ("**we**", "**us**", "**our**", or "**Provider**").
By downloading, installing, activating, or using BeamDesk, you ("**you**", "**Customer**") agree to these Terms. If you do not agree, do not install or use BeamDesk.

## 1. The Service
BeamDesk is a desktop application for designing theatrical and live-event lighting plots. It runs locally on your computer (Windows and macOS). Project files (`.bdp`, `.bdb`, `.bdf`) are stored on your local file system; we do not host your project data on our servers.
We may update, modify, or add features to BeamDesk over time. We may also retire features when there is good reason to do so. We will not materially reduce the core lighting plot functionality you've paid for during an active subscription period without offering a refund of the unused portion.

## 2. Merchant of Record
**All billing, payment processing, and tax collection for BeamDesk are handled by [Paddle.com Market Ltd. ("Paddle")](https://www.paddle.com/) as our Merchant of Record.** When you purchase a BeamDesk subscription:
- Paddle is the seller of record for the transaction.
- Paddle's own terms ([Buyer Terms](https://www.paddle.com/legal/checkout-buyer-terms), [Privacy Policy](https://www.paddle.com/legal/privacy)) apply to payment, billing disputes, and tax matters.
- Paddle collects and remits applicable sales tax, VAT, or GST in your jurisdiction.
- These Terms (between you and us) govern your use of the BeamDesk Service itself — the license grant, the software's operation, your conduct, and our relationship as service provider.
When you have a billing question (charge, invoice, refund, card update, cancellation), the fastest path is the [Paddle customer portal](https://www.paddle.com/customers). When you have a Service question (the software, your account, your project files, support), contact us directly.

## 3. Subscription & License Grant
### 3.1 Subscription
BeamDesk is sold as a subscription on a monthly or annual basis at the prices listed at [beamdesk.app](https://www.beamdesk.app). Subscriptions automatically renew at the end of each billing period unless canceled. You may cancel at any time through the Paddle customer portal; cancellation stops future billing but does not refund the current paid period except as provided in our [Refund Policy](./refund-policy.md).
### 3.2 License grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a **non-exclusive, non-transferable, non-sublicensable, revocable license** to install and use BeamDesk on up to **three (3) personal computers** that you own or control, for the duration of your active subscription.
### 3.3 License activation and validation
BeamDesk uses a cryptographically signed license token tied to your account. On first launch, the app validates the token with our license server. Tokens are refreshed periodically while you use BeamDesk. If validation cannot reach our servers, BeamDesk continues to operate normally for a **14-day grace period** after the most recent successful validation, after which the application drops to a read-only state with a renewal banner until validation succeeds again. No data is lost during the grace period or read-only state.
### 3.4 Grandfathered / lifetime classes
Customers who received a one-time perpetual or lifetime license through a backer reward (e.g., Kickstarter), early-supporter program, or comp agreement retain access on the terms communicated at the time of that grant. These are historical, closed classes; perpetual licenses are not offered through public sale.

## 4. Acceptable Use
You agree that you will not:
- Copy, modify, reverse engineer, decompile, or disassemble BeamDesk, except to the extent expressly permitted by applicable law.
- Share, sublicense, rent, lease, or resell your license or license code.
- Use BeamDesk to design or document activities that violate applicable law.
- Bypass, disable, or interfere with the license validation system.
- Use BeamDesk in a manner that interferes with other users or our infrastructure.
We may suspend or terminate your license for material breach of this section, with notice and a reasonable opportunity to cure where the breach is curable.

## 5. Intellectual Property
### 5.1 Our IP
BeamDesk — including the application, source code, designs, trademarks, and documentation — is and remains the property of Jonathan Bucci Productions, LLC and our licensors. These Terms grant you a license to use the Service; they do not transfer any ownership of the software.
### 5.2 Your project files
**You own the project files you create with BeamDesk** (`.bdp`, `.bdb`, `.bdf`, exported PDFs, exported CSVs, exported DXFs, and any other artifacts you produce). We claim no license, ownership, or right to your project content. We do not upload, store, scan, or transmit your project files.
### 5.3 Third-party content
BeamDesk ships with a generic fixture catalog. Vendor-specific fixture catalogs may be installed separately and are governed by their respective manufacturers' terms. You are responsible for ensuring you have the right to use any fixture catalog, image, font, or other third-party asset you bring into a BeamDesk project.

## 6. Updates
We periodically release updates to BeamDesk. Updates may include bug fixes, new features, performance improvements, security patches, and compatibility changes. Updates may be required for continued operation when security or licensing infrastructure changes. We will not introduce changes that knowingly disable previously functioning features for which you are actively paying, without notice and a refund option for the unused portion.

## 7. Support
We provide reasonable email support to active subscribers at **beamdesk@jbp.design**. Response times are best-effort during business hours (US Eastern Time) and are not a contractual guarantee unless explicitly stated in a separate support agreement.

## 8. Cancellation, Termination, and Suspension
### 8.1 By you
You may cancel your subscription at any time through the Paddle customer portal. Cancellation takes effect at the end of the current paid period; you retain access to BeamDesk through that date.
### 8.2 By us
We may suspend or terminate your access for: (a) non-payment after a reasonable grace period; (b) material breach of these Terms that you fail to cure within 14 days of written notice; (c) fraudulent activity, chargeback abuse, or attempted circumvention of the license system; or (d) discontinuation of the Service with reasonable advance notice and pro-rated refund of any unused prepaid period.
### 8.3 Effect of termination
Upon termination, your license to use BeamDesk ends. Your locally stored project files remain on your computer and are not affected. We will not delete or interfere with your project files.

BEAMDESK IS PROVIDED **"AS IS"** AND **"AS AVAILABLE,"** WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF YOUR PROJECT FILES. WE STRONGLY RECOMMEND USING VERSION CONTROL OR CLOUD BACKUP FOR ANY PROJECT FILE THAT MATTERS TO YOU.
BEAMDESK IS A DESIGN TOOL. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT BY A QUALIFIED LIGHTING DESIGNER, RIGGER, ELECTRICIAN, OR LIFE-SAFETY PROFESSIONAL. DRAWINGS, SCHEDULES, AND DOCUMENTS PRODUCED WITH BEAMDESK ARE THE USER'S RESPONSIBILITY TO REVIEW BEFORE USE IN INSTALLATION, RIGGING, ELECTRICAL WORK, OR ANY ACTIVITY WHERE LIFE OR PROPERTY SAFETY IS AT STAKE.

## 10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL JONATHAN BUCCI PRODUCTIONS, LLC, ITS MEMBERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE BEAMDESK, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, OR OTHERWISE).
OUR TOTAL LIABILITY UNDER THESE TERMS, FOR ANY CAUSE OF ACTION, IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

## 11. Indemnification
You agree to indemnify and hold harmless Jonathan Bucci Productions, LLC, its members, employees, and contractors from any third-party claim arising out of (a) your violation of these Terms, (b) your violation of applicable law, or (c) project content you create, distribute, or use in a manner that infringes the rights of a third party. We will indemnify you against any third-party claim that BeamDesk itself, as provided by us, infringes a U.S. copyright or trademark; this is our sole IP indemnity.

## 12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or BeamDesk is the state or federal courts located in **Beaver County, Pennsylvania**, and you and we consent to the personal jurisdiction of those courts.
You and we each waive any right to a jury trial in any proceeding arising out of these Terms.
If you are a consumer residing in a jurisdiction that grants you mandatory consumer rights that conflict with this section, those mandatory rights apply notwithstanding this section.

## 13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
1. Update the "Last updated" date at the top of this document.
2. Notify active subscribers by email at least **30 days** before the change takes effect.
3. Give you the right to cancel your subscription before the change takes effect and receive a pro-rated refund of any unused prepaid period.
Continued use of BeamDesk after the effective date of a change constitutes acceptance of the updated Terms.

## 14. Miscellaneous
- **Entire agreement.** These Terms, the [Privacy Policy](./privacy-policy.md), and the [Refund Policy](./refund-policy.md), together with any order confirmation from Paddle, constitute the entire agreement between you and us regarding BeamDesk.
- **Severability.** If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
- **No waiver.** Our failure to enforce any provision is not a waiver of our right to enforce it later.
- **Assignment.** You may not assign these Terms without our written consent. We may assign these Terms in connection with a sale, merger, or other corporate transaction.
- **Force majeure.** Neither party is liable for failure to perform due to events beyond reasonable control (natural disaster, war, internet outage, third-party infrastructure failure).

# BeamDesk Privacy Policy

This Privacy Policy explains what information **Jonathan Bucci Productions, LLC** ("**we**", "**us**", "**our**") collects when you use BeamDesk, why we collect it, and what your rights are.
We have designed BeamDesk to need very little information about you. This is not marketing language — it is a deliberate product decision. Most of what would be a "data collection" section in another company's privacy policy simply does not apply, because the data does not exist on our servers.

## 1. The short version
When you use BeamDesk, we collect:
- A **license code** so we know which subscription you are using.
- A **machine fingerprint** (a hashed identifier derived from your computer's hardware) so we can enforce the three-device limit in our Terms of Service.
- The **date and time** of your most recent license validation, plus the **IP address** the validation came from (for fraud / abuse prevention).
- Information that **Paddle** collects from you when you pay: name, email, billing country, and payment-method metadata. Paddle is our [Merchant of Record](./terms-of-service.md#2-merchant-of-record) and we receive a subset of this information so we can deliver your license code and provide support.
**We do NOT collect:**
- Anything inside your project files (drawings, fixture lists, channel hookups, paperwork, exports, magic sheets, custom layers, or anything else you create with BeamDesk).
- Telemetry about which features you use, when you open the app, or how long you use it.
- Crash reports or diagnostic logs sent automatically to us.
- Your full payment card number or banking details — those stay with Paddle.
- Any information for advertising, analytics, third-party sharing, or resale.
Project files live on **your computer's local file system.** They never leave your machine except when you choose to send them (email, upload to your own cloud storage, hand off to a colleague). We have no access to them.

## 3. What we collect and why
### 3.1 License validation data

### 3.2 Information Paddle shares with us
When you purchase a BeamDesk subscription through Paddle, we receive:
- Your **name** (as entered at checkout).
- Your **email address** (to send your license code and provide support).
- Your **billing country** (for sales tax compliance and regional product behavior).
- Your **subscription plan** (monthly / annual / team tier).
- Your **subscription status** (active, canceled, past due, refunded).
We **do not** receive: your full payment card number, your card's CVV, your full billing address (unless we explicitly need it for a support case, which we will request from you directly), or any payment behavior from your other Paddle purchases.
Paddle's own privacy practices govern everything Paddle does with your payment information. See [Paddle's Privacy Policy](https://www.paddle.com/legal/privacy).
### 3.3 Information you send us in support emails
When you email us at `beamdesk@jbp.design`, we receive whatever you send: your message, any attachments (such as a project file you choose to share for debugging), and your email metadata. Support correspondence is retained for as long as the conversation is useful for ongoing assistance — typically up to **two years** — and may be retained longer if relevant to a billing dispute or legal matter.
### 3.4 Marketing website
Our marketing website at [beamdesk.app](https://www.beamdesk.app) is hosted on Squarespace. Squarespace places standard analytics cookies and may collect basic visit information (page views, referrer, browser type). See [Squarespace's privacy policy](https://www.squarespace.com/privacy) for details. The BeamDesk desktop application itself does not use cookies or web analytics.

## 4. What we do NOT collect
To be explicit, the BeamDesk desktop application does not:
- Read, transmit, or analyze your project files (`.bdp`, `.bdb`, `.bdf`) or any exported artifacts.
- Send usage telemetry to us or any third party.
- Automatically send crash reports. If BeamDesk crashes, no data leaves your computer unless you choose to send us a log file as part of a support request.
- Track which features you use, which menus you open, or which fixtures you place.
- Connect to advertising networks, analytics services, or tracking pixels.
- Access your contacts, calendar, microphone, camera, or location.
- Access files on your computer other than those you explicitly open or save in BeamDesk.
If our data-collection posture changes in a future release of BeamDesk — for example, if we add an opt-out crash reporter — **we will update this Privacy Policy and notify active subscribers by email before the change takes effect.**

## 5. How we use the information we collect
We use the limited information we collect only to:
- Operate the license validation system that powers your subscription.
- Send you transactional emails (license code on purchase, password reset, billing notifications, subscription-end reminders, security advisories).
- Respond to your support inquiries.
- Investigate suspected fraud, abuse, or violations of our Terms of Service.
- Comply with legal obligations (e.g., responding to a valid subpoena).
We do not use your information to profile you, target you with ads, train AI models, or sell to third parties. We do not have a marketing list separate from the transactional system — if you receive an email from us, it is because it relates directly to your subscription.

## 6. Who we share information with
We share information only with the small number of service providers we need to run BeamDesk:

We will update this list if we add or change service providers in a way that materially affects your data.
We will share information with law enforcement or other authorities **only** in response to a valid legal demand (subpoena, court order, or equivalent) or where we believe in good faith that disclosure is required to prevent imminent harm. We will notify you of any such demand to the extent we are legally permitted to do so.
We do not sell or rent your personal information. We never have. We do not plan to.

## 8. Where your data is stored
Our license-validation servers and email delivery infrastructure are operated in the United States. Paddle operates internationally and may process your data in multiple jurisdictions; see Paddle's privacy policy for details. If you are located outside the United States, your information will be transferred to and processed in the United States, where data-protection laws may differ from those in your country.

## 9. Your rights
Depending on where you live, you may have the following rights regarding your personal information:
### Everyone
- **Access.** You can ask us what information we have about you. Because we hold so little, the answer is usually short — typically your email, name, country, license code, and validation timestamps.
- **Correction.** You can ask us to correct inaccurate information. You can update your name and email directly in the Paddle customer portal.
- **Deletion.** You can ask us to delete your information. We will do so, subject to legal retention requirements (billing records, etc.). Note that deleting your license-validation record terminates your subscription's ability to function.
- **Portability.** You can ask us to export your information in a machine-readable format. As above, the dataset is small.
- **Opt-out of marketing.** We do not send marketing emails. If you ever receive an email from us that you believe is marketing rather than transactional, please reply asking us to stop, and we will.
### Residents of the European Union, United Kingdom, or other jurisdictions with comprehensive privacy laws (GDPR, UK GDPR)
In addition to the above:
- **Legal basis for processing.** We process your information under the lawful bases of (a) **performance of a contract** (your subscription), (b) **legitimate interests** (fraud prevention, security), and (c) **legal obligation** (tax records, responding to legal demands).
- **Right to restrict processing.** You can ask us to limit how we use your information.
- **Right to object.** You can object to processing based on legitimate interests.
- **Right to lodge a complaint** with your national data protection authority. We would prefer you contact us first so we can address the concern directly.
- **Paddle as our Merchant of Record** acts as the data controller for billing information and as a processor for some other data. See Paddle's privacy documentation for details.
### Residents of California (CCPA / CPRA)
In addition to the rights listed above:
- **Right to know** what categories of personal information we collect, the sources, the business purposes, and the third parties we share with — all of which are described above in this Policy.
- **Right to delete** subject to legal retention exceptions.
- **Right to opt out of "sale" or "sharing."** We do not sell or share personal information for cross-context behavioral advertising. There is nothing to opt out of.
- **Right to non-discrimination.** We will not deny you BeamDesk, charge you a different price, or provide a different level of service because you exercised a privacy right.
To exercise any right, contact us at **beamdesk@jbp.design**. We will verify your identity (typically by confirming you can receive email at the address on file) before acting on the request. We aim to respond within **30 days**.

## 10. Children's privacy
BeamDesk is not directed at children under 13 (United States) or under 16 (European Union). We do not knowingly collect personal information from children. If you believe we have inadvertently collected information from a child, please contact us at **beamdesk@jbp.design** and we will delete it.

## 11. Security
We use industry-standard security practices to protect the information we hold:
- License-validation traffic is encrypted in transit (TLS).
- License-validation data is encrypted at rest.
- Access to our infrastructure is restricted to authorized personnel and audited.
- We do not store payment card numbers — those are held by Paddle, which is PCI-DSS Level 1 certified.
No system is perfectly secure. If we discover a breach affecting your personal information, we will notify affected customers as soon as reasonably possible and as required by applicable law.

## 12. Changes to this Policy
When we update this Privacy Policy:
1. We will update the "Last updated" date at the top.
2. For material changes, we will notify active subscribers by email at least **30 days** before the change takes effect.
3. If a change introduces new data collection (such as adding crash reporting or telemetry), we will obtain consent where required by law before the new collection begins.
Continued use of BeamDesk after the effective date of a change constitutes acceptance of the updated Privacy Policy.

# BeamDesk Refund Policy

We want you to be happy with BeamDesk. This Refund Policy explains when and how you can get your money back.
This policy is part of the [BeamDesk Terms of Service](./terms-of-service.md). The legal provider is **Jonathan Bucci Productions, LLC**. All billing is handled by **[Paddle](https://www.paddle.com/)**, our Merchant of Record.

## The short version
- **Within 14 days of your original purchase,** request a full refund through Paddle or by emailing us. No questions asked, no justification needed.
- **After 14 days,** subscriptions are generally non-refundable for the current period, but you can cancel at any time to stop future billing.
- **Cancel anytime** through the [Paddle customer portal](https://www.paddle.com/customers). Cancellation stops future billing immediately and lets you keep using BeamDesk through the end of the period you already paid for.

## 1. The 14-day window
For any BeamDesk subscription — **monthly, annual, individual, team, education**, all of them — you are entitled to a full refund within **14 days** of the original purchase, for any reason.
- You do not need to provide a justification.
- You do not need to have stopped using the app first.
- The refund will be returned to your original payment method.
This applies to your first purchase of a given subscription. If you cancel within the 14-day window, your subscription terminates immediately and your license deactivates.

## 2. Subscription renewals
When your monthly or annual subscription **renews automatically**, that renewal charge is **not** treated as a new "original purchase" for the 14-day window. To avoid an unwanted renewal:
- **Cancel before the renewal date** through the [Paddle customer portal](https://www.paddle.com/customers).
- Paddle sends a renewal reminder by email before annual renewals.
If you forgot to cancel and were charged for a renewal you did not want, **contact us within 14 days of the renewal charge** and we will refund it. This is a courtesy, not a contractual right, but in practice we honor it. After 14 days from a renewal, refunds are generally not available.

## 3. After the 14-day window
After the 14-day window from the original purchase, subscriptions are generally non-refundable for the period already paid. You can still cancel at any time to stop future billing — cancellation takes effect at the end of the current billing period.
We may, at our discretion, issue refunds outside this window for:
- **Persistent technical issues** that prevent you from using BeamDesk for a substantial portion of a paid period and that we are unable to resolve in a reasonable time.
- **Billing errors** (duplicate charges, charges after a confirmed cancellation, currency conversion errors, etc.).
- **Service discontinuation** by us — if we discontinue BeamDesk, we will refund the unused portion of any prepaid annual subscription.

## 4. Team subscriptions
For team subscriptions (multiple seats under one account):
- The 14-day window applies from the **date the team subscription was originally activated**, not from the date individual seats were added.
- Adding seats mid-period: the prorated charge for new seats is refundable within 14 days of the prorated charge.
- Removing seats mid-period: Paddle handles seat-count adjustments and prorated credits per their billing rules.
- Cancellation of the entire team subscription follows the standard rules above.

## 5. Education tier
Educational subscriptions (free for paying USITT Student Members; reduced price for verified students) follow the same rules:

## 6. Kickstarter, backer, and grandfathered tiers
Customers who received BeamDesk through a Kickstarter campaign, a backer reward, or a comp / promotional grant are governed by the **terms communicated at the time of that grant**, not by this Refund Policy. Kickstarter-platform refunds are subject to Kickstarter's own rules. We will, in good faith, address grant-related issues that fall outside this policy on a case-by-case basis.

## 7. How to request a refund
The fastest path is **through Paddle's customer portal**:
1. Go to [paddle.com/customers](https://www.paddle.com/customers).
2. Look up your purchase using the email address used at checkout.
3. Select the BeamDesk transaction and follow the prompts to request a refund.
If you cannot find the transaction or prefer to deal with us directly, email **beamdesk@jbp.design** with:
- The email address used at purchase.
- The approximate date of purchase.
- A short note (one line is fine; you don't need to justify within the 14-day window).
We will process your request and confirm by email. Paddle typically returns funds to your original payment method within **5–10 business days** of processing.

## 8. Chargebacks
If you have a refund question, please contact us first — we will almost always resolve it faster than your bank can. **Initiating a chargeback through your card issuer without first attempting to resolve the issue with us may result in suspension or termination of your account** per our Terms of Service. This is industry-standard practice for subscription software and exists to protect both parties from fraud.

## 9. Changes to this Policy
We may update this Refund Policy from time to time. When we make material changes:
1. We will update the "Last updated" date at the top.
2. We will notify active subscribers by email at least **30 days** before the change takes effect.
3. The 14-day window for purchases made before the change took effect remains as it was at the time of purchase.
